These Terms of Service ('Terms') govern your access to and use of Kabibot's websites, products, and services (collectively, the 'Services'). By using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who we are
Kabibot ('Kabibot', 'we', 'our', or 'us') is an AI-powered, non-custodial cryptocurrency trading automation platform. We do not take custody of your funds. You connect your own exchange accounts under the applicable third-party terms and conditions.
2. Eligibility
You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements and that your use of the Services complies with applicable laws and regulations, including those related to financial services, sanctions, anti-money laundering, and export controls.
3. Account registration and security
- You are responsible for the accuracy of the information you provide.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Notify us immediately of any unauthorized access or security incidents.
- We may, at our discretion, refuse, suspend, or terminate accounts that violate these Terms or present risk.
4. Non-custodial nature; Exchanges and APIs
- Kabibot is non-custodial. We do not hold, control, or have access to your exchange funds.
- When you connect an exchange via APIs or credentials, you grant the exchange and our systems permission to send trade instructions as configured by you.
- API keys and secrets are handled according to your chosen connection methods. You should use exchange-level permissions and security best practices.
- All trades, balances, fees, and execution risks are governed by the exchange's own terms and market conditions.
5. Acceptable use
- Do not use the Services for illegal activities, market manipulation, or to violate exchange policies.
- Do not attempt to reverse engineer, interfere with, or disrupt the Services or associated networks.
- Do not misuse rate limits, abuse free tiers, or create multiple accounts to circumvent restrictions.
- Respect intellectual property and privacy rights of others.
6. Plans, pricing, fees, and taxes
- We may offer subscription plans, usage-based fees, commissions, or royalties. Prices may change with notice.
- Payments are due according to the plan terms. Late or failed payments may result in suspension or limits.
- Unless stated otherwise, fees are exclusive of taxes. You are responsible for any applicable taxes.
- Refunds, if any, are granted at our discretion consistent with applicable law.
7. Strategy marketplace and third-party content
- Strategies may be created by us or third-party creators. Performance is not guaranteed.
- Creators are responsible for the accuracy and legality of their content; you are responsible for due diligence.
- We may moderate, list, delist, or adjust marketplace features at our discretion.
- Third-party tools or integrations are subject to their own terms and privacy policies.
8. Risk disclosures
- Trading cryptocurrencies involves significant risk, including total loss of capital.
- Past performance does not guarantee future results. Simulated or backtested results may differ from real outcomes.
- Market, liquidity, technological, and regulatory risks may adversely impact results.
- You are solely responsible for your trading decisions, configurations, and risk controls.
9. No financial, investment, or tax advice
Information provided by the Services is for informational and educational purposes only and does not constitute financial, investment, legal, accounting, or tax advice. You should consult your advisors before making decisions.
10. Intellectual property
- The Services, including software, UI, designs, logos, and content, are owned by Laxtic Software Services which provides Kabibot services to you.
- Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal purposes.
- You may not copy, modify, distribute, sell, or lease any part of the Services unless expressly permitted.
11. User content and feedback
- You retain ownership of your content. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use it to operate and improve the Services.
- If you provide feedback or suggestions, we may use them without restriction or obligation to you.
12. Confidentiality and data protection
We handle information according to our Privacy Policy. You agree to keep non-public information about the Services confidential. For details on how we collect and process personal data, see our Privacy Policy.
By using the Services, you consent to our processing of data as described in the Privacy Policy and acknowledge that we may work with service providers and engage in international data transfers with appropriate safeguards.
13. Compliance, sanctions, and prohibited uses
- You represent that you are not subject to trade sanctions or located in a prohibited jurisdiction.
- You will not use the Services to violate applicable laws, including AML/CFT, securities, tax, or consumer protection laws.
14. Service availability and updates
- The Services may change, be interrupted, or discontinued at any time without liability.
- We may release updates, changes, or new features. Some updates may be required for continued use.
- Planned maintenance or incidents may temporarily affect availability or performance.
15. Third-party services and links
The Services may contain links to third-party websites, exchanges, or services. We do not endorse or control these third parties and are not responsible for their content or practices. Your use of them is at your own risk and subject to their terms.
16. Suspension and termination
- We may suspend or terminate your access for violations of these Terms, legal reasons, or risk concerns.
- You may stop using the Services at any time. Upon termination, your rights under these Terms end immediately.
- Sections intended to survive termination will remain in effect (e.g., IP, disclaimers, liability, indemnity).
17. Disclaimers
- The Services are provided 'AS IS' and 'AS AVAILABLE' without warranties of any kind.
- We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
- We do not warrant that the Services will be uninterrupted, secure, or error-free.
18. Limitation of liability
- To the fullest extent permitted by law, Kabibot and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
- Our aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amounts paid by you to us in the twelve (12) months prior to the event giving rise to liability or (b) one hundred (100) USD.
19. Indemnification
You agree to defend, indemnify, Kabibot and hold harmless and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of applicable laws.
20. Investors and disclosures
- Investors in Kabibot have no right to direct product decisions unless otherwise agreed in writing.
- Any forward-looking statements are subject to risks and uncertainties; actual results may differ materially.
- Nothing in these Terms constitutes an offer to sell or a solicitation to buy securities.
21. Employees, contractors, and representatives
- Employees and contractors must follow internal policies and legal obligations; they are not authorized to bind Kabibot without written authority.
- Any informal statements by staff do not modify these Terms.
22. Beta features and experimental tools
- Beta or experimental features may be unstable and are provided without warranties.
- We may limit or revoke access to beta features at any time.
23. Communications
- We may send service announcements, security alerts, and administrative messages.
- Marketing communications will be sent with consent where required, and you may opt out.
24. Governing law and dispute resolution
- These Terms are governed by the laws of your local jurisdiction unless otherwise required by mandatory law. Where permitted, the laws of the jurisdiction of our principal place of business will apply.
- Any disputes shall be resolved through good-faith negotiations. Where applicable and permitted, disputes may be subject to binding arbitration on an individual basis, and you waive class actions to the maximum extent allowed by law.
25. Changes to the Services or Terms
We may update the Services and these Terms from time to time. Changes will be effective when posted or as otherwise stated. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
26. Severability and entire agreement
- If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in full force.
- These Terms, together with any referenced policies (including the Privacy Policy), constitute the entire agreement between you and Kabibot regarding the Services.
27. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
